These Terms of Service ("Terms") govern your use of the Agent Advance Now website and the commission advance application process operated by Agent Liquidity Group LLC, operating under the Agent Advance Now brand ("Agent Advance Now," "we," "us," or "our"). By using the website or submitting an application, you agree to these Terms. These Terms are a draft for legal review; commercial terms of any actual advance are governed solely by a separately executed commission advance agreement (see Section 12).

1. Website Use and Eligibility

You must be at least 18 years old and a licensed real estate professional acting in good standing to submit an application. You agree to use the website only for lawful purposes and in accordance with these Terms.

2. Application Submission

Submitting an application is a request for evaluation only. It does not create any commitment by us to provide an advance, and it does not create an advance, offer, or funding obligation until you accept a written offer from us.

3. Accuracy of Information

You confirm that the information and documents you provide are accurate, complete, and current. We rely on this information — and may verify transaction details with your broker, title company, or other sources — when evaluating your application. Providing inaccurate information may result in rejection of your application or termination of any offer.

4. Commission Advance Requests

You may request an advance of up to $25,000 in connection with a pending real estate transaction. All requests are subject to eligibility, verification, underwriting, and approval. Approval is discretionary, and we may decline any request for any lawful reason.

5. Approval and Underwriting Discretion

All decisions regarding approval, advance amount, and conditions are made at our discretion based on our review of your application, documentation, transaction details, and other relevant factors. Submission of an application does not guarantee approval, any particular advance amount, or any particular terms.

6. Variable Service Fees and Disclosures

Our service fees vary by transaction. Any applicable fee will be disclosed to you before you are asked to accept an offer. Estimates shown on the website (including the calculator) are illustrative only, are not offers, and do not guarantee any fee, amount, or outcome. Use of the promotional code ADVANCE10 provides 10% off the service fee; the discount applies to the service fee, not to the advance amount.

Open item for review: Confirm whether ADVANCE10 has eligibility restrictions or expiration before publication. As currently implemented, the code is captured, validated, stored with the application, and synchronized to our CRM; the 10% discount is applied manually when your final offer is prepared.

7. Promotional Offers

Promotional offers may be modified or withdrawn at any time. Promotional terms, if any, will be disclosed with the offer and do not alter the fee disclosures described in Section 6.

8. Soft Credit Inquiry Considerations

As part of our application review, we may conduct a soft credit inquiry. A soft inquiry does not affect your credit score. These Terms do not constitute the credit-inquiry authorization itself.

Open item for review: Determine with counsel whether a separate, explicit authorization for soft credit inquiries is required, and if so, provide its exact wording and placement in the application. It should not be bundled with acceptance of these Terms.

9. Electronic Communications and Signatures

You consent to receive communications from us electronically, including by email, regarding your application. You agree that electronic records and signatures may be used for the application process as permitted by applicable law.

10. Funding Timing and Availability

Same-day funding may be available, subject to approval. Funding timing is not guaranteed and varies based on application review, required documentation, and transaction circumstances. Nothing in these Terms promises a specific review or funding timeline.

11. Required Transaction Documentation

You may be required to provide documentation such as a signed purchase agreement, listing agreement, license, or commission agreement. We may request additional documents as part of our review.

12. Privacy and Information Handling; Relationship to the Funding Agreement

Our handling of your information is described in our Privacy Policy. These website Terms do not contain the commercial terms of any advance. Any commission advance, if offered and accepted, is governed exclusively by a separately executed commission advance agreement between you and the entity providing the advance. Commission advances may be provided by Agent Liquidity Group LLC or an affiliated funding entity; the specific funding provider, service fee, repayment obligations, and other commercial terms will be identified in that agreement, which controls with respect to that advance. These Terms do not imply that every advance is provided by, or funded by, the same entity.

Open item for review: For legal review: the actual commission advance agreement must identify the specific legal entity providing the advance. The commission advance agreement governs all commercial terms — including repayment mechanics, default provisions, grace periods, late fees, collection rights, guarantees, assignment, and dispute resolution. Those matters are intentionally not addressed here and require review of the actual commission advance agreement and applicable law.

13. Limitations of Website Estimates

Calculator outputs and any other figures presented on the website are illustrative estimates provided for convenience. They are not offers, commitments, guarantees of pricing, or guarantees of net proceeds, and may not reflect the actual terms of any offer you receive.

14. Disputes and Governing Law

These Terms, and any dispute arising from your use of the website or the application process, will be governed by and construed in accordance with the law of the applicable jurisdiction.
